Terms of Service

Welcome to BridgeLine Translational. By accessing https://www.bridgelinetranslational.com (the “Site”) or engaging our advisory services, you agree to these Terms.
1. Who we are
BridgeLine Translational provides independent consulting services in translational and nonclinical strategy.
2. Scope and nature of services
We provide advisory services only. We are not a contract research organization (CRO), regulatory representative/agent, or law firm, and we do not provide legal advice.
3. Use of the Site
You agree not to misuse the Site or attempt to interfere with its operation. Third‑party links are provided for convenience; we are not responsible for their content or policies.
4. Engagement terms
Project scope, timelines, fees, and deliverables are defined in written proposals or Statements of Work (“SOWs”). If there is a conflict between these Terms and an SOW, the SOW controls for that engagement.
5. Client responsibilities
You will provide accurate information and timely access to materials, systems, and personnel needed to perform services.
6. Confidentiality
Each party will protect the other’s non‑public information and use it solely for the engagement. Mutual NDAs are available upon request and commonly used.
7. Intellectual property
Each party retains ownership of its pre‑existing IP. Unless otherwise agreed in writing, you receive a non‑exclusive license to use deliverables internally and for fundraising/partnering. Our underlying methods, know‑how, and templates remain our property.
8. Fees and payment
Fees and payment terms are specified in the SOW. Late payments may incur reasonable late charges. You are responsible for applicable taxes other than our income taxes.
9. Scheduling and cancellations
Meetings may be rescheduled with reasonable notice. Project cancellations follow the SOW.
10. No guarantee
Advisory work involves judgment. We do not guarantee specific outcomes (e.g., funding, approvals, timelines).
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Our total liability related to the services will not exceed the fees you paid for the engagement giving rise to the claim.
12. Independent contractor
We perform services as an independent contractor. Nothing creates a partnership, joint venture, or employment relationship.
13. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control.
14. Governing law & venue
These Terms are governed by the laws of New Jersey, without regard to conflicts of law. Disputes will be resolved in the courts located in Gloucester County, New Jersey.
15. Changes to Terms
We may update these Terms; the Effective date above reflects the latest revision. Continued use of the Site after changes constitutes acceptance.
